Key facts

Is internal audit required by Thai law?
Not for private companies. The audit Thai law requires is the statutory audit of the annual financial statements. Internal audit is commissioned by management for its own assurance.
What does an internal audit cover?
Internal controls, business processes, and fraud risk. The auditor tests how the company actually operates and reports ranked findings and fixes to management or the board.
Can an SME outsource internal audit?
Yes. Accounting and audit firms in Thailand run internal audit as a recurring or one-off engagement, which is how most SMEs without an in-house team buy the function.

Internal audit in Thailand: assurance for management, not for the law

Internal audit in Thailand is work a company commissions for itself. An auditor examines how the business actually runs, whether its controls hold, where money or stock could leak, and reports to the owners or the board.

That makes it different from the statutory audit, the annual audit of the financial statements that Thai law requires of companies. The statutory auditor answers to the law and gives an opinion on the accounts. An internal auditor answers to management and tells you what to fix.

No rule forces a private Thai company to have an internal audit function. Companies pay for one anyway when the cost of not knowing gets too high.

What an internal audit reviews

Three kinds of review make up most engagements. A controls review tests whether the safeguards around cash, payments, approvals, and inventory work in practice, not just on paper. A process review walks through how work actually flows, purchasing to payment, order to cash, and finds the steps where errors or delays start. A fraud-risk review looks for the gaps someone could exploit: one person holding a payment end to end, supplier records nobody reconciles, manual overrides nobody logs.

The output is a report for management: findings ranked by risk, and specific fixes. Good controls also make the rest of the compliance year cheaper, because the statutory filings the finance team answers to, like the annual tax return due within 150 days of the accounting period's close, are built on numbers that were controlled all year.

Checking whether specific past obligations were actually met, filing by filing, is a different engagement: that is a compliance audit.

How an internal audit engagement runs

  1. Agree the scope

You and the firm decide what gets reviewed: the whole control environment, one process, or one risk. Scope drives the fee, so a first engagement often starts narrow.

  2. Fieldwork

The auditors interview staff, walk through processes, test transactions on a sample basis, and compare what the procedures say with what actually happens.

  3. Report and recommendations

Findings go to management or the board, ranked by risk, each with a concrete fix and an owner. A good report is a work plan, not a grade.

  4. Follow-up

On a recurring engagement the firm re-tests the fixed items in the next cycle. This is where the value compounds: findings that stay closed.

Outsourced internal audit for SMEs

Most SMEs in Thailand are too small to employ an internal auditor, so the function is bought in. Accounting firms in Thailand and specialist audit firms offer internal audit as a recurring engagement, quarterly or annual, or as a one-off review when something specific worries the owner: a suspected leak, a new manager taking over the books, a parent company asking for controls assurance.

One boundary matters when you hire: the firm that signs your statutory audit should not also be designing and reviewing your controls as if it were management. Firms handle this by separating teams or by the company using different firms for the two roles; ask how the firm you shortlist does it. If the whole finance back office is the real gap rather than the controls around it, outsourced accounting is the engagement to compare first.

Firms scope and quote internal audit case by case, so compare what the fieldwork covers rather than the headline fee.

Common questions

Frequently asked questions

What is the difference between an internal audit and a statutory audit in Thailand?
The statutory audit is the annual audit of the financial statements that Thai law requires of companies; the auditor gives an opinion on the accounts. An internal audit is voluntary work commissioned by management: it reviews controls, processes, and fraud risk and produces recommendations rather than an opinion. Companies with any complexity usually end up needing both, for different reasons.
When is an internal audit worth paying for?
Common triggers: the owner no longer sees every transaction, cash or stock results do not reconcile with expectations, a new finance manager takes over, a parent company or investor asks for controls assurance, or the business has grown past the point where one trusted person runs everything. A narrow first review of one process is a cheap way to find out how much there is to fix.
What does an internal audit in Thailand cost?
There is no standard fee. Firms quote based on scope: how many processes, locations, and transactions get tested, and whether the engagement is one-off or recurring. Compare quotes on what the fieldwork actually covers, not on the headline number.
Can the same firm do our statutory audit and our internal audit?
The statutory auditor's independence is the constraint: the firm signing the audit opinion should not effectively be auditing its own controls work. In practice companies either use separate firms for the two roles or use a firm that separates the teams. Ask any firm you shortlist how it handles this before engaging it for both.
