Company Secretarial Services in Hong Kong

Company secretarial services in Hong Kong help a company keep its corporate records and filing calendar organised. Compare providers by the work included throughout the year, the changes charged separately and the records you can access.

Who can be the company secretary?

A Hong Kong private company must have a company secretary. Its sole director cannot also fill that role. An individual secretary must ordinarily reside in Hong Kong; a corporate secretary must have its registered or principal office in Hong Kong. The Companies Registry explains these appointment requirements.

Before appointing a provider, ask who will hold the role and who handles your day-to-day questions. Check how the firm records instructions and obtains your approval before submitting documents.

Define the annual service

Request an itemised scope covering statutory records, meeting documentation, routine filings and reminders. Ask whether the registered office and mail forwarding are included, and whether you can view correspondence without waiting for a periodic report.

For a local private company, the annual return is due within 42 days after its incorporation anniversary. The Registrar cannot extend that statutory limit. The official annual-return guidance sets out the filing obligation. Ask who prepares the return, who checks the particulars and how delivery is confirmed.

Changes and handover

Tell the provider about any expected director changes, share transfers or changes to the registered office. Ask which changes are included and which need a separate engagement. Complex ownership or shareholder issues may call for legal input alongside the secretary's filing work.

Before switching firms, agree how the outgoing provider will transfer records and unresolved correspondence. Request a written list of outstanding filings so that responsibility is clear.

Compare the broader scope of accounting services in Hong Kong if you want one firm to coordinate finance and company administration. For company setup, the Hong Kong incorporation guide explains the related steps.
