Annual Return Filing in Hong Kong

Annual return filing services in Hong Kong help local private companies prepare and deliver their yearly Companies Registry return. The engagement should cover checking the company particulars, meeting the filing date and keeping evidence of delivery.

The annual return and its deadline

For a private company incorporated in Hong Kong, the annual return must be delivered within 42 days after the anniversary of incorporation. The Registrar cannot extend this statutory limit. The filing records the company’s particulars. The Companies Registry annual-return page explains the requirement and late registration fees.

Its fee for an on-time private-company return is HK$105; late registration fees range from HK$870 to HK$3,480. These are official charges, separate from a provider’s fee. For a re-domiciled private company, the anniversary is based on its re-domiciliation date.

Tell a provider the incorporation date and show it the latest company records before asking for a filing quote. If the anniversary has already passed, give the actual dates and correspondence so the firm can assess the position without assuming the filing is on time.

What the filing service should do

Ask who reconciles the return against company records and how you approve the particulars before submission. Request a clear list of documents needed from you, the provider's internal preparation date and confirmation after delivery.

A filing service should not leave you guessing about unfinished changes. The Registry explains that the annual return does not replace the separate notices required for changes to company particulars. Flag recent changes to the provider and ask it to identify any separate work.

Compare scope and retain the records

Check whether the quote is part of an ongoing company secretarial engagement or covers one return only. Ask for government charges and professional fees separately, including any additional work needed to resolve inconsistent records.

Keep the completed return, submission confirmation and correspondence with your other company records. Agree who will track the next anniversary and how reminders reach you if your usual contact is away.

For a broader administration engagement, see accounting services in Hong Kong. The company registration guide places annual filings in the wider company lifecycle.
