Company Registration in Hong Kong

Company registration in Hong Kong starts with choosing a structure and preparing the incorporation documents. A formation provider can help organise the filing and the services needed after incorporation. Compare the full first-year scope, including company secretary and registered office arrangements, before choosing a package.

What a formation engagement should cover

For a local private company, the Companies Registry requires a company secretary and at least one individual director. The sole director cannot also act as company secretary. The registered office must be in Hong Kong. These requirements are explained in the Companies Registry incorporation FAQ.

Ask the provider to list the documents it prepares, who checks ownership and director details, and who submits the application. Establish whether the quote includes the government charges or only the provider's work. A package name alone tells you little about its scope.

Official fees and processing times

The Registry FAQ lists an incorporation application fee of HK$1,545 for electronic filing or HK$1,720 for paper filing for a local company with share capital. Business Registration charges are additional.

For a private company limited by shares, electronic certificates are normally issued within one hour of submission; paper applications normally take four working days. These are Registry processing times, not a promise that a provider can complete document preparation, verification or banking in that period.

Compare setup and ongoing costs

Request separate prices for incorporation, company secretary work, the registered office, mail handling and later changes to company details. Ask what happens at renewal and what records you receive if you switch provider.

For a company with overseas shareholders, explain where the owners are based and how documents can be supplied. Ask the firm to identify any verification steps before quoting a completion date. Treat banking support as a separate service with its own scope; do not rely on a formation package as a promise of a bank account.

Prepare for a useful first conversation

Have the proposed company name, planned activities, ownership outline and director details ready. Tell the provider whether you need help coordinating bookkeeping, tax and the annual compliance calendar as well as incorporation.

The Hong Kong company registration guide explains the wider setup process. For shareholder arrangements or ownership questions, see corporate and business law in Hong Kong.

Common questions

Frequently asked questions

What should I compare in company registration quotes?
Compare incorporation work, government charges, company secretary service, registered office, mail handling and renewal prices as separate items.

That depends on the engagement. Ask for bookkeeping, tax, audit and annual compliance work to be priced and described separately.
What should I prepare before contacting a provider?
Prepare the proposed name, business activities, ownership outline and director details, and explain which ongoing services you need.
